Change Ownership vs Modify Domain

What's the purpose of Change Ownership? Does it actually change ownership of
the domain? Or just the cookie? It wouldn't change the contact info, so old
owner still owns domain, doesn't he?

If I want to change the owner of a domain, is doing a Modify Domain with
change owner contact enough?
